Terms of Service

1. Acceptance of Terms

This Terms of Service agreement ("Agreement") is a legal agreement between you ("Client", "you") and Holborn LLC, a Wyoming corporation, with a place of business at 30 N Gould St Ste R Sheridan, WY 82801, USA ("Holborn", "we", "us", "BuildSherpa Research") for the use of the BuildSherpa Research platform at research.buildsherpa.ai (the "Platform" or "Service"). By using and/or registering to use the Platform, you agree to be bound by this Agreement. If you do not agree, do not use the Platform.

If you are using the Platform on behalf of an organization, you represent that you have the authority to bind that organization to this Agreement.

BuildSherpa Research is an AI-powered competitive intelligence and market analysis platform designed for professional use by investment firms, consultancies, corporate strategy teams, and other business users. The Service includes:

5. Report Content and Intellectual Property

5.1 Your Content

You retain ownership of any materials you upload to the Platform (logos, brand assets, research questions). By uploading content, you grant us a limited license to use it solely to provide the Service.

5.2 Report Deliverables

Reports generated through the Platform are licensed to you for your internal business use and for distribution to your clients and stakeholders. You may share, present, and distribute exported reports (PPTX, shared pages) as part of your professional work.

You may not resell raw report data, use reports to train competing AI models, or represent the underlying analysis methodology as your own proprietary technology.

5.3 Platform IP

The Platform, its algorithms, analysis methodology, code, design, and branding are the exclusive property of Holborn LLC. This Agreement does not transfer any Platform IP to you.

5.4 Third-Party Data

Our analysis is based on publicly available data from product databases, review platforms, and community forums. This data is used under fair use principles. We do not claim ownership of third-party content referenced in reports.

6. Pricing and Payment

6.1 Free Trial

New users receive one complimentary analysis report. The free trial report includes the full analysis but does not include PPTX export or branded deliverables.

6.2 Paid Services

Paid features, including PPTX export and premium deliverables, are available as one-time purchases or through enterprise agreements. Enterprise pricing is available upon request. All prices are in U.S. Dollars. Payments are processed through Stripe. Fees are non-refundable unless otherwise specified in an enterprise agreement.

6.3 Enterprise Agreements

Enterprise clients may enter into separate agreements with custom pricing, volume discounts, SLA terms, and dedicated support. Enterprise agreements supersede this Agreement to the extent of any conflict.

7. Data Collection and Usage

7.1 Usage Data

We collect metadata about your usage of the Platform, including reports generated, features used, and session data. For full details, see our Privacy Policy.

7.2 Anonymized Data

We may collect, aggregate, and anonymize usage data for the purpose of improving the Platform, training AI models, and generating industry benchmarks. Anonymized data cannot be traced back to you or your organization and becomes our property.

7.3 Confidentiality

We treat your research queries, selected companies, and analysis parameters as confidential. We will not disclose your specific research activities to third parties except as required by law.

8. AI Limitations

8.1 Accuracy

Reports are AI-generated from real market data, not from LLM training data. However, AI-generated analysis may contain inaccuracies, omissions, or outdated information. Specifically:

Reports do not constitute investment advice, legal counsel, or professional consulting opinions. You should independently verify material findings before making business decisions, particularly for investment, M&A, or strategic purposes.

8.3 Disclaimer of AI Liability

Holborn LLC is not liable for decisions made based on AI-generated reports. You use the Service at your own risk and accept responsibility for how you apply report outputs.

9. Third-Party Services

The Platform integrates with third-party services including Stripe (payments), Google Cloud (AI processing), and Hetzner (hosting). Your use of these services is subject to their respective terms. We are not responsible for third-party service availability or performance.

10. Service Availability

We strive for reliable, uninterrupted service but do not guarantee 100% uptime. The Service may be temporarily unavailable for maintenance, technical issues, or circumstances beyond our control. We are not liable for losses arising from Service downtime.

11. Account Termination

11.1 By Us

We may suspend or terminate your account for breach of this Agreement, misuse of the Service, or non-payment.

11.2 By You

You may terminate your account at any time by contacting support@buildsherpa.ai.

11.3 Effect of Termination

Upon termination, your access to the Service will be revoked. You may request a copy of your exported reports within 30 days. We may delete your data after 90 days. Anonymized data we have collected remains our property.

12. Limitation of Liability

12.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOLBORN LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $500, WHICHEVER IS GREATER.

13. Indemnification

You agree to indemnify and hold harmless Holborn LLC and its officers, directors, employees, and agents from claims, damages, or expenses arising from your use of the Service, your violation of this Agreement, or your distribution of report deliverables.

14. Dispute Resolution

14.1 Informal Resolution

Before filing a claim, you agree to contact support@buildsherpa.ai and attempt informal resolution within 30 days.

14.2 Arbitration

Unresolved disputes shall be settled by binding arbitration under the American Arbitration Association's Commercial Arbitration Rules, conducted in Wyoming or remotely. YOU WAIVE YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN CLASS ACTIONS.

15. Governing Law

This Agreement is governed by the laws of the State of Wyoming, USA. Any legal proceedings shall be brought in Wyoming courts, and you consent to personal jurisdiction therein.

16. Changes to Terms

We may modify this Agreement at any time. Material changes will be communicated with at least 30 days' notice. Continued use after changes take effect constitutes acceptance.

17. Severability

If any provision of this Agreement is held invalid, the remaining provisions remain in full force. Failure to enforce any provision is not a waiver.

18. Entire Agreement

This Agreement and our Privacy Policy constitute the entire agreement between you and Holborn LLC regarding the Service, except where superseded by an enterprise agreement.
